Welcome to 99Exch. These Terms and Conditions (the “Terms”) form a legally binding agreement between you (“you”, “the user”, or “the account holder”) and 99Exch (“we”, “us”, “our”, or “the platform”). They set out the rules under which we make our online betting exchange and related services available to you, and they describe what you can expect from us and what we expect from you in return.

We have written these Terms in plain English on purpose. Legal documents are often dense and difficult to follow, and we believe you should be able to understand exactly what you are agreeing to without needing a lawyer to translate it. Where a word has a specific meaning, we explain it in the Definitions section. Where a rule affects your money, your bets, or your account, we have tried to be as direct and clear as possible.

This document applies to every part of your relationship with us: visiting the website, creating an account, verifying your identity, depositing funds, placing back and lay bets on the exchange, claiming bonuses, withdrawing winnings, and contacting our support team. If you do not agree with any part of these Terms, you should not use the platform. Your continued use is treated as ongoing acceptance.

These Terms should be read together with our Privacy Policy and our Responsible Gaming information, both of which are referenced later in this document. 1. Acceptance of These Terms

By accessing the 99Exch website, creating an account, or using any of our services, you confirm that you have read, understood, and agreed to be bound by these Terms. Acceptance happens through your actions: you do not need to sign a physical document. The moment you tick the acceptance box during registration, or the moment you place your first bet, you have accepted these Terms in full.

You also confirm that you are entering into this agreement on your own behalf and not on behalf of any other person, company, or syndicate. You are personally responsible for every action taken through your account, whether or not you carried it out yourself. If someone else uses your login details with or without your permission, the activity is still treated as yours.

If you are accepting these Terms after they have been updated, your acceptance applies to the most recent version published on the website at the time you use the platform. We explain how changes work in the section on Changes to These Terms. It is your responsibility to check the current version before relying on any older understanding of the rules.

2. Definitions

To keep these Terms readable, we use a small number of defined words. Understanding them will help you follow the rest of the document without confusion.

Account means the personal user account you register with 99Exch, including its balance, bet history, and settings. Exchange means the betting marketplace where users place back and lay bets against each other rather than against a bookmaker. Back bet means a wager that a particular outcome will happen. Lay bet means a wager that a particular outcome will not happen.

Stake means the amount of money you risk on a single bet. Liability means the maximum amount you could lose on a lay bet if the outcome you bet against actually happens. Settlement means the process of deciding whether a bet has won or lost and adjusting balances accordingly. Void means a bet that is cancelled and returned, as if it had never been placed.

Funds means the money credited to your account, whether deposited by you or won through betting. Bonus means any promotional credit, free bet, or reward we offer, subject to its own conditions. Restricted territory means any country or region where online betting is unlawful or where we choose not to offer services. Words in the singular include the plural and vice versa, and references to “writing” include electronic messages such as email and in-app chat.

3. Eligibility — You Must Be 18 or Older

99Exch is strictly an 18+ service. You must be at least eighteen years of age at the moment you register and at all times while you hold an account. Betting is an adult activity, and we take age restrictions seriously. If you are under 18, you must not register, deposit, place bets, or attempt to use the platform in any way, and you must not ask an adult to do so on your behalf.

By accepting these Terms you confirm and warrant that you meet the minimum age requirement and that you are legally permitted to gamble in the place where you live. Different regions have different laws about online betting. It is your responsibility, not ours, to make sure that taking part is lawful for you. We do not provide legal advice and we do not accept liability for any breach of local law on your part.

If we discover that an account holder is underage, we will close the account immediately. Any winnings associated with that account will be forfeited and any deposits will be returned through the original payment method where it is lawful and practical to do so. We may also report the matter to the appropriate authorities. Protecting minors from gambling is a shared responsibility, and we ask parents and guardians to keep login devices and payment details out of reach of children.

We reserve the right to ask for proof of age at any time. If you cannot provide satisfactory proof when asked, we may suspend your account until the matter is resolved. This protects both you and the integrity of the platform.

4. Account Registration & Verification

To use the full range of 99Exch services you must register an account. During registration we will ask for information such as your name, date of birth, contact details, and a method of payment. You agree to provide information that is accurate, complete, and current, and to update it promptly if anything changes. Providing false details is a breach of these Terms and may lead to your account being closed and funds being withheld pending investigation.

We operate a Know Your Customer (KYC) process to keep the platform safe, to prevent fraud, and to meet our legal obligations. As part of this process we may ask you to verify your identity by providing documents such as a government-issued photo ID, proof of address, or proof that a payment method belongs to you. We may carry out these checks at registration, before a withdrawal, or at any other time we consider necessary.

Verification protects you as much as it protects us. It helps ensure that nobody else can withdraw your funds and that money on the platform is clean and lawfully sourced. We aim to complete verification quickly, but where documents are unclear or further checks are needed, the process can take longer. Until verification is complete, we may limit certain features, including withdrawals.

You agree to cooperate fully and honestly with any verification request. Submitting forged, altered, or borrowed documents is treated as serious misconduct and will result in account closure. All documents you send us are handled in line with our Privacy Policy and stored securely.

5. Your Account Responsibilities

Your account is personal to you. You are responsible for keeping your username, password, and any other login credentials confidential and secure. Do not share them with anyone, do not write them down where others can find them, and do not allow another person to access your account. We strongly recommend choosing a strong, unique password and changing it if you ever suspect it has been compromised.

You are fully responsible for all activity that takes place through your account, including all bets placed and all funds withdrawn, whether or not you personally authorised each action. If you believe your account has been accessed without your permission, you must tell us immediately through our support channels so that we can help secure it. The sooner you contact us, the more we can do to limit any harm.

You must use your account only for your own personal entertainment. You may not use it on behalf of a third party, sell or transfer it, or operate it as part of a business, betting syndicate, or arbitrage operation against the spirit of fair play. Accounts are not transferable and cannot be passed on, inherited, or gifted to another person.

You agree to keep your contact details current so that we can reach you about important matters such as security alerts, verification requests, and changes to these Terms. If we cannot contact you because your details are out of date, you may miss important information, and we will not be responsible for any resulting inconvenience.

6. Deposits, Withdrawals & Payments

You may fund your account using the payment methods made available on the platform. All deposits must come from a source that legally belongs to you. You must not deposit using stolen cards, accounts that are not yours, or funds obtained unlawfully. Doing so is fraud and will result in account closure, forfeiture of associated balances, and possible reporting to the authorities.

When you request a withdrawal, we pay your funds to a verified account or method in your own name wherever possible. We process withdrawals as promptly as we reasonably can, but the exact timing depends on the payment method, your verification status, and standard security checks. We may hold or delay a withdrawal if verification is incomplete, if we suspect fraud or breach of these Terms, or if we are required to do so by law.

Your account is for betting, not for moving money around. We do not act as a bank, and we may refuse withdrawals that appear to be attempts to use the platform purely as a payment service without genuine betting activity. Minimum and maximum deposit and withdrawal limits may apply, and these can change from time to time. Any transaction fees charged by your payment provider are your responsibility.

We keep customer funds separate from our own operating money to the extent required by applicable rules. Balances on the platform do not earn interest. If your account becomes inactive for a long period, we may attempt to return your balance to you and, where permitted by law, may apply an administrative charge for dormant accounts after giving you reasonable notice.

7. Bonuses & Promotions

From time to time we may offer bonuses, free bets, cashback, or other promotional rewards. Every promotion is optional, and you are never required to take one. Each bonus comes with its own specific terms, which may include wagering requirements, minimum odds, eligible markets, time limits, and maximum payout caps. By claiming a bonus you accept its specific terms in addition to these general Terms.

Bonuses are intended to add to your enjoyment of the platform, not to be exploited. We do not permit bonus abuse, which includes opening multiple accounts to claim the same offer repeatedly, colluding with other users, placing risk-free hedged bets purely to extract bonus value, or any other strategy designed to capture promotional funds without genuine play. Where we detect abuse, we may remove the bonus and any winnings derived from it.

Unless a specific promotion says otherwise, bonus funds must be wagered before they or any winnings linked to them can be withdrawn. If you withdraw before meeting a wagering requirement, the outstanding bonus and related winnings may be removed. We may also withdraw, change, or cancel any promotion at any time, including for individual users, if we reasonably believe the offer is being misused.

8. Betting Rules & Settlement

When you place a bet on 99Exch, you are entering into a binding wager under the rules that apply to that market. Before placing a bet you should make sure you understand the market, the odds, the stake, and, for lay bets, your liability. Once a bet is confirmed and matched, it generally cannot be cancelled by you. The responsibility to check your bet before confirming it is yours.

Bets are settled according to the official result of the relevant event. We rely on recognised official sources to determine outcomes. Settlement normally happens promptly after an event finishes and the result is confirmed, but it can occasionally be delayed where a result is disputed, unclear, or subject to official review. Your winnings are credited to your balance once a bet is settled as a win.

If a market is settled in error, we reserve the right to correct the settlement, even after winnings have been credited. This means we may re-settle a bet to reflect the correct result and adjust your balance accordingly. Such corrections are not penalties; they simply ensure that every bet is paid out on the true outcome. We aim to make any correction quickly and to explain it clearly if you ask.

Maximum payout limits may apply to certain markets or bet types. Where a limit applies, your winnings on a single bet or a connected series of bets may be capped at the published maximum, regardless of the stake and odds. These limits are part of the market rules and are designed to keep the exchange fair and sustainable for everyone.

9. Exchange Back and Lay Rules

The heart of 99Exch is the betting exchange, where you bet against other users rather than against the house. A back bet is a bet that something will happen — for example, that a particular team will win a match. A lay bet is the opposite: you are betting that the outcome will not happen, effectively taking on the role of the bookmaker for that selection. Understanding the difference is essential before you place a bet.

A bet on the exchange is only active once it is matched against an opposing bet from another user. If your bet is not matched, in full or in part, the unmatched portion does not stand and no money changes hands on it. You can usually cancel an unmatched bet before it is matched, but once a bet is matched it is live and subject to settlement based on the result.

When you place a lay bet, your potential loss is your liability, which can be larger than your stake depending on the odds. We will show you your liability before you confirm a lay bet, and you must ensure your balance can cover it. By confirming a lay bet you accept full responsibility for the liability, including the possibility that you lose the entire amount if the outcome you bet against occurs.

The exchange may apply commission on net winnings in a market, as published in the relevant rules. Commission is how the exchange model is funded, and it is only ever charged on winnings, never on losses. We aim to keep commission transparent so that you always know what you will pay before you bet.

10. Fair Use & Prohibited Conduct

We want 99Exch to be a fair, safe, and enjoyable place for everyone. To protect the platform and its users, certain conduct is strictly prohibited. You must not use the platform for any unlawful purpose, including money laundering, fraud, or financing of any illegal activity. You must not attempt to manipulate markets, fix events, or place bets on the basis of inside information that is not publicly available.

You must not use bots, automated software, scripts, or any artificial means to place bets, scrape data, or interact with the platform in ways that a normal human user could not. You must not collude with other users to gain an unfair advantage, share a single market position across multiple accounts, or take part in any organised scheme designed to defeat the fairness of the exchange. You must not exploit software bugs, pricing errors, or technical glitches; if you find one, you should report it to us.

You must not abuse our staff. Our support team is here to help, and we ask that you treat them with the same respect you would expect for yourself. Threatening, abusive, or harassing behaviour towards our team or other users is not tolerated and may result in your account being restricted or closed.

Where we reasonably believe you have engaged in prohibited conduct, we may suspend or close your account, void affected bets, withhold or reclaim winnings derived from the conduct, and report the matter to relevant authorities. We will act proportionately and, wherever possible, explain the reason for any action taken.

11. Account Suspension & Closure

You may close your account at any time by contacting our support team. Before closure, we will help you withdraw any remaining verified balance that you are entitled to, subject to completing any necessary checks. Once an account is closed at your request, any active bets will normally be allowed to settle in the ordinary way unless you ask us to do otherwise and the market rules permit it.

We may suspend or close your account if you breach these Terms, if we are required to do so by law or regulation, if we reasonably suspect fraud or abuse, or if we have serious concerns about the safety of your account or the integrity of the platform. Where it is appropriate and lawful to do so, we will tell you why we have taken action and what, if anything, you can do to resolve it.

If we close your account for a breach of these Terms, we may withhold winnings that arise directly from that breach. Funds that you have lawfully deposited and that are not connected to any wrongdoing will be returned to you through an appropriate method, subject to verification. Suspension is often a temporary measure while we investigate, and we aim to resolve such matters as quickly as we reasonably can.

We also support self-exclusion. If you ask us to close your account for responsible-gaming reasons, we will treat that request seriously and act on it promptly, as described in the Responsible Gaming section below.

12. Errors & Void Bets

Despite our best efforts, errors can occasionally occur — for example, an obvious mistake in the odds displayed, a market opened on the wrong event, or a technical fault during settlement. Where a clear error (sometimes called a palpable error) affects a bet, we reserve the right to void the affected bet and return the stake, or to settle it at the price or terms that would have applied had the error not occurred.

A bet may also be voided where an event is abandoned, postponed beyond a reasonable period, or does not take place as scheduled, in line with the rules for that market. When a bet is voided, it is treated as though it never happened: your stake is returned and any liability is released. Voiding is not a penalty; it is a way of putting things right when a bet cannot fairly stand.

You should not rely on, or try to take advantage of, an obvious error. If you place a bet that you know or ought reasonably to know is based on a mistake, we may void that bet and any winnings from it. We apply error and void rules consistently and in good faith, with the goal of ensuring that outcomes reflect what should fairly have happened.

13. Intellectual Property

All content on the 99Exch platform — including the brand name, logo, text, graphics, design, software, and the structure of the website and app — is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable licence to use the platform for your own betting entertainment in accordance with these Terms. This licence does not give you any ownership rights.

You may not copy, reproduce, modify, distribute, publish, frame, scrape, or create derivative works from any part of the platform without our prior written permission. You may not use our name, logo, or branding in a way that suggests endorsement or affiliation that does not exist, and you may not remove or obscure any copyright or trademark notices.

If you submit any content to us, such as feedback or suggestions, you grant us the right to use it freely to improve our services, without obligation to pay you or to credit you. We value your input, and this simply allows us to act on good ideas without legal complication.

14. Limitation of Liability

We work hard to provide a reliable and secure service, but we cannot promise that the platform will always be available, uninterrupted, or completely free of errors. To the fullest extent permitted by law, we are not liable for losses caused by events beyond our reasonable control, including internet outages, third-party payment failures, device problems, or interruptions in data feeds used to settle bets.

To the extent permitted by law, our total liability to you in connection with the platform is limited to the amount of funds in your account at the relevant time, or the amount directly affected by the issue in question, whichever is lower. We are not liable for indirect or consequential losses, loss of expected winnings, loss of opportunity, or any losses that were not reasonably foreseeable when you accepted these Terms.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for fraud or for any matter that cannot be excluded under the law that applies to this agreement. Betting carries financial risk, and you accept that you may lose the money you stake. You should only ever bet with money you can comfortably afford to lose.

15. Indemnity

You agree to indemnify and hold us harmless against any claims, losses, costs, and expenses (including reasonable legal costs) that arise from your breach of these Terms, your misuse of the platform, your violation of any law, or your infringement of the rights of any third party. In plain terms, if your wrongdoing causes us to suffer a loss or face a claim, you are responsible for putting that right.

This indemnity continues to apply even after your account is closed, for matters that arose while your account was active or that relate to your use of the platform. We will, where reasonable, tell you about any claim to which this indemnity applies and give you the opportunity to be involved in how it is handled. We will not settle a claim in a way that admits fault on your behalf without first discussing it with you where it is practical to do so.

16. Privacy

Your privacy matters to us. The way we collect, use, store, and protect your personal information is explained in detail in our Privacy Policy, which forms part of your agreement with us and should be read alongside these Terms. By using the platform, you consent to our handling of your data as described there.

In short, we collect only the information we need to operate the platform, keep it secure, verify your identity, comply with the law, and improve your experience. We do not sell your personal data. We share it only with trusted partners who help us run the service, and only to the extent necessary, under appropriate confidentiality and security arrangements. You have rights over your data, including the right to access it and to ask us to correct it, as set out in the Privacy Policy.

No system is perfectly secure, but we take data protection seriously and continuously work to keep your information safe.
